Driver Agreement
Effective Date: May 16, 2026
This Driver Agreement ("Agreement") is between you ("Driver", "you") and Nimbusa ("we", "our", "us"), and governs your use of the Mailbox application ("App") to accept and perform package deliveries. It is in addition to the Mailbox Terms of Service and Privacy Policy. By registering as a driver and accepting deliveries, you agree to these terms.
1. Independent Contractor Status
- You are an independent contractor, not an employee, agent, partner, or joint venturer of Nimbusa.
- This Agreement does not create an employment relationship. You are not entitled to employee benefits, workers' compensation, unemployment insurance, or similar protections from Nimbusa.
- You decide whether, when, and how often to make yourself available and which delivery offers to accept or decline.
- You provide your own vehicle, equipment, fuel, mobile device, and data plan, and bear all costs of operating as a driver.
2. Eligibility Requirements
To accept deliveries, you must at all times:
- Be at least 18 years old.
- Hold a valid driver's license.
- Have access to a registered, roadworthy vehicle.
- Carry vehicle insurance that meets or exceeds the minimum required by law in your jurisdiction.
- Have the legal right to work and operate as an independent contractor.
3. Verification and Documents
- Before you can accept deliveries, you must upload required onboarding documents through the App, including your driver's license, proof of vehicle insurance, vehicle registration, and a profile photo.
- You must complete identity verification through Stripe Identity. You may also be required to complete a background check, and continued access may depend on its result.
- You must keep all documents current and accurate, and promptly update them when they change or expire.
- We may suspend or remove your ability to accept deliveries if documents are missing, expired, or cannot be verified.
4. Performing Deliveries
- When you accept a delivery, you agree to retrieve the package and deliver it to the client's pinned location with reasonable care and within a reasonable time.
- You are responsible for handling packages carefully and for following any lawful delivery instructions provided by the client.
- You must obey all traffic, transportation, and other applicable laws while performing deliveries.
- You must not open, tamper with, use, or misappropriate any package, and must not deliver prohibited or illegal items.
- If you cannot complete a delivery, you must promptly communicate this through the App so the delivery can be reassigned.
5. Payment and Payouts
- You earn a fixed amount per completed delivery, disclosed in the App when you receive a delivery offer.
- Payouts are processed through Stripe Connect. You must create and maintain a Stripe Connect account and provide accurate payout and tax information to Stripe.
- Payouts are released after a delivery is marked complete, subject to Stripe's processing times.
- We may withhold or reverse payment for deliveries that are fraudulent, not actually completed, or that violate this Agreement.
6. Taxes
As an independent contractor, you are solely responsible for reporting and paying all taxes on your earnings, including self-employment tax. We do not withhold taxes on your behalf. Tax forms, where applicable, may be issued through Stripe based on the information you provide.
7. Insurance
You are responsible for maintaining your own vehicle insurance at all times while operating as a driver. Personal auto policies may not cover commercial or delivery use; you are responsible for confirming that your coverage is adequate and for obtaining commercial coverage if required. Nimbusa does not provide insurance for drivers and is not responsible for any loss, damage, or liability arising from your operation of a vehicle.
8. Conduct and Safety
- You must treat clients and other users professionally and respectfully.
- You must not perform deliveries while impaired by alcohol, drugs, or any substance that affects safe driving.
- You must not harass, threaten, discriminate against, or endanger any person.
- You must protect the privacy of client information and use it only to complete deliveries.
9. Ratings and Deactivation
Your performance is reflected in client ratings and delivery history. We may suspend or permanently deactivate your driver access if you violate this Agreement, the Terms of Service, or applicable law, if your ratings fall below acceptable standards, if required documents lapse, or if we determine deactivation is necessary for the safety or integrity of the platform.
10. Liability
You are responsible for your own acts and omissions while performing deliveries. To the maximum extent permitted by law, you agree to indemnify and hold Nimbusa harmless from claims, damages, and losses arising from your deliveries, your operation of a vehicle, or your breach of this Agreement. Nimbusa's liability to you is limited as described in the Terms of Service.
11. Termination
You may stop driving and close your driver account at any time. We may suspend or terminate your participation as described in this Agreement. Provisions relating to payment for completed deliveries, taxes, liability, and indemnification survive termination.
12. Changes to This Agreement
We may update this Agreement from time to time. We will notify you of material changes through the App. Continuing to accept deliveries after changes take effect constitutes acceptance of the updated Agreement.
